Terms of Service
Article 1 [General Provisions]
- BBS Tech Solutions Co., Ltd. (hereinafter referred to as “the Company”) has established these Terms of Service (hereinafter referred to as “these Terms”) and provides the services set forth in Article 4 (hereinafter referred to as “the Service”) in accordance with these Terms.
- Contractors (hereinafter referred to as “Users”) shall use the Service in accordance with these Terms.
Article 2 [Conclusion of Service Agreement]
- The Service Agreement shall be concluded when an applicant wishing to use the Service agrees to these Terms, submits the Company’s designated application form (or online form), and the Company receives it.
- Amendments to the Service Agreement shall also be concluded when the User completes the Company’s designated procedures and the Company receives them.
- The Company may refuse to approve the conclusion of or amendment to the Service Agreement if the Application Form contains false information or if any violation of these Terms is detected.
Article 3 [Application for Service Submission]
The Company may submit applications for the Service on its behalf based on the Application Form through an agent who has entered into a sales agency agreement with the Company.
Article 4 [Services Provided by the Company]
- In accordance with these Terms of Use, the Company provides the following services to users:
- Deespot
– Listing store information, updating information, deleting listings, etc. - Deespot Manager
– Account management for listed stores, updating information, viewing statistics, etc. - Other Deespot-related services
– QR Menu Service: A service that converts store print menus into QR codes, allowing online viewing and order acceptance
– Other various services provided by the Company related to Deespot - Instagram Management Service
– A service in which the Company manages Instagram accounts designated by users.
- Deespot
- Users must agree to the terms and conditions set forth in these Terms of Use before applying to use each service.
Article 5 [Notices]
Notices from the Company to users will be provided by the Company in a manner deemed appropriate by the Company, including email, written notices, notices posted on the Company’s system administration screen or website, etc.
Article 6 [Changes to Terms of Use]
The Company reserves the right to change these Terms of Use at any time. The revised Terms of Use will take effect upon notification to users via our designated notification method, and users will be deemed to have agreed to the changes by continuing to use the Service.
We will endeavor to notify users of any changes to the Terms of Use in advance, but will use a method of notification that we deem appropriate.
Article 7 [User Standards]
We will conduct a designated screening process for users wishing to use the Service. If we deem the user unsuitable, we may refuse to enter into a Service Agreement or continue use of the Service. We are not obligated to disclose the reasons for refusal.
Article 8 [Prohibited Acts]
Users must not engage in the following acts when using the Service:
Acts that violate laws and regulations or public order and morals
Acts that infringe on the intellectual property rights, privacy, or other rights of our company or a third party
Acts that interfere with the operation of the Service or attempts to gain unauthorized access
Other acts that we deem inappropriate
Note: Some of the provisions of this section will remain in effect even after the Service Agreement has terminated.
Article 9 [Usage Fees and Payment Methods]
The usage fees and calculation methods for the Service are as follows:
・Deespot/Deespot Manager initial fee: 5,500 THB
・Deespot/Deespot Manager monthly fee: 5,500 THB
・Image editing option: 5,000 THB
・Instagram management agency monthly fee: 3,500 THB
・Instagram management agency photo editing option monthly fee: 1,500 THB
Monthly fees are generally paid in advance, with the fee for the month of use due by the end of the previous month.
The first month of Deespot/Deespot Manager may be free.
Article 10 [Payment Cycle and Non-Payment Handling]
Addition to the Payment Schedule
First Month Free (Introductory Month)
If Paying by Credit Card:
You will be automatically charged for the current month on the 25th of each month.
If Paying by Invoice:
You will receive an invoice for the following month on the 10th of each month, and payment for the following month must be made in advance by the 25th.
Handling of Payment Failures
If payment is not confirmed by the end of the current month, the following services will be suspended from the 1st of the following month.

Posting articles and testimonials about participating stores
Citations via Synup
All other DeeSpot-related services
Notes During Service Suspension
This is a temporary access restriction due to non-payment and does not constitute a contract termination.
Usage fees will still accrue during service suspension.
Article 11 [Suspension/Cancellation of Service]
We may suspend or cancel all or part of the Service without prior notice to users in the following cases:
(1) When maintenance, inspection, updates, or system expansion of the Service is required.
(2) When provision is difficult due to natural disasters, fires, power outages, or other force majeure.
(3) When the User violates these Terms of Use, or when the Company otherwise deems it necessary to provide the Service.
The Company shall not be liable for any damages incurred by the User or third parties due to the suspension or discontinuation of the Service.
Article 12 [Contract Term and Termination]
The contract term for this Service shall, in principle, be the term specified at the time of contract execution (when the application form is submitted), and may be selected from 3, 6, or 12 months. If you wish to terminate the contract at the end of the contract period or change the contract period upon renewal, you must notify the Customer via LINE support by the end of the month prior to the contract expiration month. You may terminate or change the contract period upon receipt of the notification from the Customer. If no notification is given, the contract will automatically renew for the same period selected at the time of contract execution, and the Customer shall not be evaded charges.
If the User wishes to terminate the contract midway, they must pay the usage fee for the remaining period in accordance with the method specified by the Company.
If the user violates these Terms of Use, we may terminate the service agreement without notice.
If you select a 6-month or 12-month contract period and pay in full, you will receive a 5% discount on the service fee for 6 months and a 10% discount for 12 months.
Article 13 [Maintenance, etc.]
We may temporarily suspend the provision of all or part of the Service for system expansion, maintenance, or construction reasons.
Except in emergency situations, we will endeavor to notify users before maintenance begins, but the method of notification will be determined by us in our discretion.
Article 14 [Confidentiality]
For the purposes of these Terms of Use, “confidential information” means all information disclosed by us or the user to the other party in connection with the use and provision of the Service.
Neither we nor the user shall use confidential information for purposes other than the purpose of the Service, and shall not disclose or leak it to a third party without the other party’s prior written consent.
Confidentiality obligations shall continue even after the termination of this Agreement.
Article 15 [Damages]
If a user violates these Terms and Conditions and causes damage to the Company, the Company may claim full compensation from the user.
The right to claim damages will expire if the user does not exercise the right within the specified period from the date of the damage.
Article 16 [Disclaimers]
The Company does not guarantee the completeness, accuracy, or usefulness of the content of the Service.
The Company shall not be liable for any damages incurred by users or third parties as a result of the use of the Service, unless the Company’s willful misconduct or gross negligence is proven.
The Company shall not be liable for any malfunctions resulting from links to external sites or integration with other companies’ services.
Article 17 [Exclusion of Associations with Anti-Social Forces]
Users represent and warrant that they are not and will not be associated with anti-social forces.
If the Company reasonably determines that a user is an anti-social force, the Company may terminate the Service Agreement.
Article 18 [Negotiations and Dispute Resolution]
If any matter not specified in these Terms or any doubt regarding its interpretation arises, the Company and the User shall attempt to resolve the matter through good faith negotiation.
If a dispute cannot be resolved through negotiation, the dispute shall be resolved in accordance with Thai law, and the court with jurisdiction over the Company’s location shall have exclusive jurisdiction.
